Terms of Service

Welcome to MediNote. These Terms of Service ("Terms") govern your use of the MediNote telehealth platform and services operated by Medinote Technologies Inc. ("MediNote", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Eligibility

To use MediNote, you must:

  • Be at least 18 years of age, or have parental/guardian consent
  • Be a resident of Canada
  • Have access to a telephone for consultations
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

2. Description of Services

MediNote provides a telehealth platform connecting patients with licensed Canadian healthcare providers. Our services include:

  • Virtual consultations via secure phone calls and chat messaging
  • Medical documentation including sick notes, medical certificates, and forms
  • Travel health consultations and clearances
  • Referrals to in-house specialists
  • Electronic prescriptions sent to pharmacies

All healthcare services are provided by independently licensed physicians and nurse practitioners who are registered and in good standing with their respective provincial regulatory colleges.

Each consultation through MediNote establishes a physician-patient relationship. Your physician conducts a clinical assessment appropriate to the service requested and exercises independent medical judgment. Medical documentation, including sick notes and certificates, is issued only following a proper clinical assessment.

3. Limitations of Telehealth

MediNote is not intended for medical emergencies. If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately.

You understand and acknowledge that:

  • Telehealth is not a substitute for in-person medical examination when required
  • Healthcare providers may determine that telehealth is not appropriate for your condition and recommend in-person care
  • Technical failures may interrupt or delay your consultation
  • Our services are designed for non-emergency medical needs only
  • All medical decisions remain between you and your healthcare provider

4. User Responsibilities

By using MediNote, you agree to:

  • Provide accurate, complete, and truthful health information
  • Keep your account credentials confidential and not share them
  • Notify us immediately of any unauthorized access to your account
  • Use our platform only for lawful purposes
  • Not impersonate another person or misrepresent your identity
  • Be available at your scheduled appointment time with a working phone
  • Be in a private location suitable for discussing health matters

5. Fees and Payment

Service fees are displayed before you confirm your booking. Payment is processed securely through Stripe at the time of booking. We accept all major credit cards, debit cards, Apple Pay, and Google Pay.

Current Service Pricing

  • Sick Notes: $55
  • Medical Forms: $150
  • Travel Consultations: $100
  • Specialist Referrals: $75

Prices are in Canadian dollars and subject to change. Current prices are always displayed at the time of booking.

Fees listed above cover the cost of medical documentation (e.g., sick notes, certificates, completed forms) and the associated virtual consultation. The physician consultation itself may be covered under your provincial health plan; the fee you pay is for the preparation, review, and issuance of the requested documentation.

6. Cancellation and Refund Policy

We understand that plans can change. Our cancellation policy is as follows:

  • 24+ hours before appointment: Full refund
  • 2-24 hours before appointment: 50% refund
  • Less than 2 hours before appointment: No refund
  • No-shows: No refund

If a healthcare provider cancels your appointment, you will receive a full refund automatically. If technical issues on our end prevent your consultation from taking place, you will receive a full refund or the option to reschedule.

If your physician determines during the consultation that the requested service is not clinically appropriate (e.g., the physician cannot issue a sick note based on the clinical assessment), you will receive a full refund of the documentation fee. Clinical decisions are made at the sole discretion of the treating physician.

To cancel an appointment, log into your dashboard and select the cancellation option, or contact our support team.

7. Privacy and Health Information

Your privacy is important to us. Our collection, use, and disclosure of your personal health information is governed by our Privacy Policy and complies with:

  • Personal Health Information Protection Act (PHIPA) – Ontario
  • Personal Information Protection and Electronic Documents Act (PIPEDA) – Canada
  • Applicable provincial health information legislation

By creating an account and using our services, you expressly consent to the collection, use, and disclosure of your personal health information as described in our Privacy Policy and Health Information Privacy Notice. You acknowledge that you have reviewed and understand both documents. You may withdraw your consent at any time by contacting privacy@medinote.ca, subject to legal and regulatory limitations.

8. Medical Records and Documentation

All medical documents generated through MediNote (including sick notes, prescriptions, and medical certificates) are:

  • Signed by licensed Canadian healthcare providers
  • Prepared in accordance with applicable College of Physicians and Surgeons standards
  • Stored securely in your patient portal
  • Available for download at any time

Medical records are retained in accordance with regulatory requirements (minimum 10 years from date of last entry).

9. Intellectual Property

The MediNote platform, including its design, logo, content, and software, is owned by Medinote Technologies Inc. and protected by Canadian and international intellectual property laws. You may not:

  • Copy, modify, or distribute our platform or content
  • Reverse engineer or attempt to extract source code
  • Use our trademarks without written permission
  • Create derivative works based on our platform

10. Disclaimer of Warranties

While we strive to provide high-quality services, MediNote is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

  • The platform will be uninterrupted or error-free
  • Any specific health outcome will result from using our services
  • The platform will meet all your requirements

Medical advice and treatment decisions are made by independent healthcare providers exercising their professional judgment. This disclaimer applies to the platform technology only and does not limit or disclaim any professional obligations of the treating physician under applicable College standards and provincial law. Healthcare providers are independently responsible for the standard of care they deliver.

11. Limitation of Liability

To the maximum extent permitted by law, Medinote Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services.

Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for gross negligence or willful misconduct.

12. Indemnification

You agree to indemnify and hold harmless Medinote Technologies Inc., its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your provision of false or misleading health information that materially affects clinical decisions
  • Your fraudulent use of the platform or impersonation of another person
  • Your violation of any applicable law in connection with your use of the platform

This indemnification clause does not require you to indemnify MediNote for claims arising from MediNote's own negligence, the clinical decisions of healthcare providers, or any breach of these Terms by MediNote.

13. Account Termination

We may suspend or terminate your account if you:

  • Violate these Terms of Service
  • Engage in fraudulent or abusive behavior
  • Provide false information
  • Fail to pay for services

You may delete your account at any time by contacting support. Upon termination, your right to use the platform ceases, though we retain medical records as required by law.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario, Canada.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on our platform. Your continued use of MediNote after changes become effective constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Complaints and Dispute Resolution

If you are dissatisfied with the services provided, we encourage you to follow this process:

  1. Contact our support team at support@medinote.ca with a description of your concern. We will acknowledge your complaint within 2 business days and aim to resolve it within 10 business days.
  2. If unresolved, you may escalate your complaint to our Privacy Officer at privacy@medinote.ca.
  3. For clinical concerns about the care provided by a physician, you may file a complaint with the physician's provincial College of Physicians and Surgeons (e.g., CPSO in Ontario).
  4. For privacy-related complaints, you may contact the Information and Privacy Commissioner of Ontario or the Office of the Privacy Commissioner of Canada.

18. Follow-Up Care and Continuity

MediNote is designed for episodic virtual care and documentation services. Regarding continuity of care:

  • If your physician identifies a condition requiring ongoing treatment or follow-up, they will advise you accordingly during your consultation.
  • MediNote does not replace your primary care provider. We encourage all patients to maintain a relationship with a family physician or nurse practitioner for ongoing healthcare needs.
  • If your physician determines that your condition requires in-person assessment, they will advise you to seek in-person care and may decline to issue the requested documentation.
  • Consultation records are available in your patient portal and can be shared with your primary care provider at your request.
